Terms of Service — Strathdon Manor Media

These Terms of Service (“Terms”) govern your use of strathdonmanormedia.co.za (the “Site”) and, together with a signed service agreement or statement of work, your engagement of Strathdon Manor Media (Pty) Ltd (“we”, “us”, “our”) for social media management, marketing, and related services. By using the Site, or engaging our services, you agree to these Terms.
1. About Us
Strathdon Manor Media is a company registered in South Africa, providing social media management and marketing services to companies within the Strathdon Group and to external clients, and managing the publishing operations of Strathdon Press on its behalf.
2. Services and Separate Agreements
These Terms govern general use of the Site. Specific service engagements — scope, deliverables, fees, and timelines — are governed by a separate signed service agreement or statement of work between Strathdon Manor Media and the client, which takes precedence over these Terms in the event of any conflict regarding that engagement.
3. Forge Suite Software
Forge Suite is a range of software applications for the publishing industry, developed by Strathdon Manor Media and marketed at strathdonforge.com. This section applies in addition to the rest of these Terms wherever you purchase or use a Forge Suite application.
3.1 Licence
On purchase, we grant you a personal or business (as applicable to the plan purchased), non-exclusive, non-transferable licence to install and use the relevant Forge Suite application(s), for the number of users or seats included in your plan. Strathdon Manor Media retains all ownership of the software; nothing in these Terms transfers any ownership or intellectual property rights to you.
3.2 Restrictions
- You may not reverse engineer, decompile, or disassemble any Forge Suite application, except to the extent this restriction is not permitted by applicable law.
- You may not resell, sublicense, rent, lease, or otherwise redistribute any Forge Suite application or licence.
- You may not remove or alter any copyright, trademark, or other proprietary notices.
3.3 Sale Through Authorised Resellers
Forge Suite purchases are transacted through Paddle.com Market Limited (“Paddle”) and/or Lemon Squeezy, LLC (“Lemon Squeezy”), acting as our authorised resellers of record for the products they sell. For each such purchase, Paddle or Lemon Squeezy (as applicable) — not Strathdon Manor Media directly — is the merchant of record responsible for invoicing, tax collection, and payment processing, and your purchase is subject to their respective terms of sale in addition to these Terms. Refunds for Forge Suite purchases are handled as set out in our Refund and Cancellation Policy.
3.4 Updates and Support
We aim to provide reasonable updates and support for current versions of Forge Suite applications, but do not guarantee ongoing support or compatibility for any specific version indefinitely.
4. Intellectual Property
All content on the Site — including text, graphics, logos, and design — is owned by or licensed to Strathdon Manor Media and protected by copyright and trademark law. “STRATHDON MANOR MEDIA”, “FORGE SUITE”, and our respective logos are trademarks of Strathdon Manor Media; other Strathdon Group names and marks belong to their respective group companies.
Unless otherwise agreed in a signed service agreement, ownership of campaign creative, content, and other deliverables produced for a client transfers to that client upon payment in full for the relevant work. Strathdon Manor Media retains the right to display completed work in its own portfolio and marketing materials, unless the client has requested confidentiality in writing. This paragraph does not apply to Forge Suite software, which is licensed, not transferred, as set out in section 3.
5. Acceptable Use
You agree not to:
- Use the Site or any Forge Suite application for any unlawful purpose, or in a way that could damage, disable, or impair it.
- Attempt to gain unauthorised access to any part of the Site, a Forge Suite application, or their underlying systems.
- Copy, reproduce, or republish Site content without our prior written consent, other than for your own personal, non-commercial reference.
6. Confidentiality
In the course of providing services, we may receive confidential business information from clients. We treat such information as confidential and will not disclose it to third parties other than subcontractors bound by equivalent confidentiality obligations, except as required by law.
7. Payments Made Through This Site
Where you make a payment directly through this Site (for example, a deposit or a one-off service fee, as distinct from a Forge Suite purchase through Paddle or Lemon Squeezy), that payment is subject to our Refund and Cancellation Policy, available at strathdonmanormedia.co.za/refund-policy.
8. Third-Party Links
The Site may contain links to third-party websites, including our resellers Paddle and Lemon Squeezy. We are not responsible for the content, accuracy, or practices of any third-party site, and including a link does not imply endorsement.
9. Disclaimers and Limitation of Liability
The Site, its content, and Forge Suite applications are provided “as is”, without warranties of any kind, to the fullest extent permitted by law. Nothing in these Terms limits any liability that cannot lawfully be limited or excluded, including liability that cannot be excluded under the Consumer Protection Act 68 of 2008 (“CPA”) where that Act applies to you.
Where the CPA does not apply (for example, because you are a juristic person above the CPA’s applicable turnover threshold), our total liability arising from use of the Site, provision of services, or use of a Forge Suite application is limited, to the fullest extent permitted by law, to the amount paid by you for the specific service or licence giving rise to the claim in the preceding twelve months.
10. Governing Law
These Terms are governed by the laws of South Africa. Any dispute arising from these Terms or your use of the Site is subject to the exclusive jurisdiction of the South African courts, without prejudice to any mandatory consumer protections available to you in your own country of residence where applicable.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
